Ernest has experience advising rodeo clients on various issues including;

- federal, state and local tax preparation and planning for individuals, partnerships and corporations;



​- corporate reorganizations, mergers, acquisitions, spin-offs, leveraged buyouts and workout and bankruptcy matters;



​- representation of clients before the IRS in both informal Q&A and comprehensive audits;



​- drafting and negotiating payment arrangements and Offer in Compromise Agreements;



​- entity formation, entity classification and basis adjustment elections;



​- tax-efficient acquisition and disposal structures for both vendors and purchasers;



​- tax and legal due diligence at both the bidding stage and at the preferred bidder stage;

​

​- tax efficient pre-sale and post-sale reorganizations;



- real estate tax issues, including REITs and like-kind exchanges.
